We hereby express our firm interest in purchasing one second-hand River-Sea / Sea-River dry cargo vessel for the transportation of agricultural commodities from Russia to Iran, primarily through the Volga River – Volga-Don Canal – Caspian Sea route. Our company is looking for a vessel suitable for regular commercial transportation of bulk grain and bagged legumes/pulses between Russian ports on the Volga/Caspian region and Iranian Caspian ports. 1. MAIN VESSEL REQUIREMENTS: Item Buyer’s Requirement: Vessel Type: River-Sea / Sea-River Dry Cargo Vessel Intended Trade: Volga River – Volga-Don Canal - Caspian Sea – Iran Main Cargo: Bulk Grain and Bagged Legumes/Pulses DWT :Approximately 3,500 MT ±10% Acceptable DWT: Approximately 3,150–3,850 MT Maximum Draft: 4.20 meters Preferred Draft: 4.00 meters or less Year Built: 2000 or newer preferred Cargo Holds :Preferably 2–4 box-type cargo holds Grain Capability: Suitable / fitted for bulk grain carriage Bagged Cargo: Suitable for bagged pulses and agricultural commodities Hatch Covers: Watertight, suitable for grain cargo Length :Overall Preferably not more than 120 meters Beam :Preferably suitable for Volga-Don navigation Propulsion :Self-propelled Gear: Geared or gearless acceptable Class: IACS / RMRS / RRR or equivalent, subject to acceptance Navigation Must be suitable for river-sea navigation Ice Class: Preferred Flag: Open Current Location: Russia / Turkey / Black Sea / China / Southeast Asia / other locations 2. CRITICAL REQUIREMENT – VOLGA-DON-CASPIAN OPERATION: The vessel must be technically and legally suitable for navigation from the Black Sea/Azov Sea through the Volga-Don Canal to the Volga River and subsequently to the Caspian Sea. Please clearly confirm: 1. Maximum permissible dimensions for Volga-Don navigation; 2. Maximum permitted draft; 3. Navigation area / navigation notation; 4. River-Sea classification; 5. Suitability for Volga River operation; 6. Suitability for Caspian Sea operation; 7. Whether the vessel has previously operated on the Volga, Don, Azov Sea or Caspian Sea; 8. Whether the vessel can be accepted for operation under the applicable Russian maritime/inland-waterway requirements. This requirement is essential. A vessel that cannot legally and technically operate through the Volga-Don Canal will not be considered. 3. CARGO REQUIREMENTS: The vessel will primarily transport: • 1- Wheat 2-Barley 3-Corn / Maize 4-Millet 5-Sunflower seeds 6- Other grains 7-Lentils8- Peas 9- Chickpeas 10-Other legumes/pulses Bagged agricultural commodities The vessel should therefore be suitable for both: A. Bulk grain cargo B. Bagged grain / legumes / pulses Please provide the following cargo information: • Number of cargo holds • Cargo hold dimensions • Total grain capacity in cubic meters • Grain loading suitability • Hatch dimensions • Hatch cover type • Cargo hold condition • Previous cargo history • Any restrictions concerning grain carriage 4. Any mortgage, lien, detention or encumbrance 26. Recent photographs and, preferably, recent video of the vessel 5. COMMERCIAL INFORMATION Please provide: • Asking price • Currency • Seller's company name • Current vessel location • Delivery location • Delivery condition • Estimated delivery date • Payment terms • Inspection possibilities • Classification / flag transfer possibilities • Any outstanding financial obligations • Any existing charter or employment We are particularly interested in vessels that can be delivered in: Russia / Black Sea / Turkey / China / Southeast Asia / Caspian Sea region. 6. PURCHASE PROCESS: For a suitable vessel, our intended procedure is: Initial offer → Technical documents → Sanctions / ownership due diligence → Class verification → Physical inspection → Independent survey → Price negotiation → MOA → Closing and delivery. The vessel will be subject to satisfactory technical, legal, commercial and class due diligence and physical inspection before completion of the purchase. 7. IMPORTANT SELLER DECLARATION: Please confirm whether the vessel: • Has any sanctions exposure; • Has any Russian / Ukrainian / restricted-port trading restrictions; • Has any outstanding mortgage or maritime lien; • Has been detained by PSC; • Has any major class recommendations; • Has any overdue surveys; • Has any structural or machinery deficiencies; • Can legally trade in the intended Volga–Don–Caspian area. 8. REQUEST FOR AVAILABLE VESSELS: We would appreciate receiving all suitable vessels currently available for sale, particularly vessels located in: China, Turkey, Russia, South Korea, Japan, Indonesia, Malaysia, Singapore and other Southeast Asian markets. Please do not send vessels that cannot meet the approximately 3,500 DWT / maximum 4.20 m draft / River-Sea / Volga-Don-Caspian requirements. We are prepared to review suitable proposals promptly and proceed to inspection and negotiation for a technically and commercially suitable vessel. This Letter of Intent is non-binding, does not constitute a purchase agreement or commitment to purchase, and is subject to satisfactory technical, legal and commercial due diligence, inspection, management approval, and execution of a mutually acceptable Memorandum of Agreement (MOA).
